These Terms & Conditions (“Terms”) govern your access to and use of the Emergent3 websites, applications, platforms, and related services (collectively, the “Services”), including:

  • Emergent3

  • E3

  • E3 Safety

  • e3.software

  • All mobile applications

  • All web portals and dashboards

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, you must not use the Services.


1. Overview of the Services

Emergent3 provides software-as-a-service (SaaS) solutions used by businesses to manage safety, compliance, communication, reporting, and related workflows. Employers purchase access to the Services, and their authorized employees and users operate under the employer’s account.

The Services may include:

  • Safety and compliance management tools

  • Communication features, including chat

  • File uploads (such as images)

  • Reporting, documentation, and data management

  • Mobile and web-based user interfaces


2. Eligibility

To use the Services, you must:

  • Be at least 18 years old

  • Be authorized by your employer or organization

  • Use the Services in compliance with these Terms and all applicable laws

Users represent that the information they provide is accurate and complete.


3. Account Registration

Employers create and manage organizational accounts. Employees or authorized users may receive individual login credentials.

You must:

  • Keep your credentials secure

  • Use your account only for authorized business purposes

  • Notify us immediately of any suspected unauthorized access

Emergent3 is not responsible for losses arising from unauthorized account use caused by failure to safeguard credentials.


4. User Responsibilities

You agree not to:

  • Access or use the Services for unlawful purposes

  • Upload, transmit, or share harmful, fraudulent, or offensive content

  • Attempt to reverse engineer, copy, modify, or create derivative works of the Services

  • Interfere with system integrity, security, or functionality

  • Misrepresent your identity or association with an organization

  • Use the Services in a way that violates workplace rules or safety regulations

Violations may result in suspension or termination of access.


5. User-Generated Content

The Services allow users to create, upload, or share content, including:

  • Chat messages

  • Images

  • Documents

  • Reports and logs

  • Job site information

A. Ownership of User Content

Your organization (the employer) retains ownership of content uploaded or created by its authorized users.

B. License to Emergent3

By using the Services, you grant Emergent3 a non-exclusive, worldwide, royalty-free license to:

  • Store, process, transmit, and display the content

  • Provide the Services

  • Improve system performance, analytics, and security

Emergent3 will never sell user content or use it for advertising.

C. Prohibited Content

Users may not upload or share:

  • Illegal material

  • Harassing, threatening, or discriminatory content

  • Malware or harmful code

  • Content that violates intellectual property rights


6. Payments & Billing

For employer accounts, services are provided on a subscription basis as agreed in a separate written or electronic service order.

Employers are responsible for:

  • Subscription fees

  • Adding/removing users

  • Managing payment methods

Failure to pay may result in suspension or termination of Services.


7. Intellectual Property Rights

All intellectual property associated with the Services is owned by Emergent3, including:

  • Software

  • Interface design

  • Branding, logos, and trademarks

  • Documentation

  • Databases and system architecture

Users and organizations receive a limited, revocable, non-transferable license to use the Services solely for lawful business purposes.

Nothing in these Terms transfers ownership of any Emergent3 intellectual property.


8. Privacy & Data Usage

Your use of the Services is also governed by the Emergent3 Privacy Policy, which explains:

  • What information we collect

  • How we use and store it

  • Your rights

  • Security measures

  • Data retention

The Privacy Policy is incorporated into these Terms by reference.


9. Third-Party Services

The Services may integrate with or rely on third-party technologies, including:

  • Amazon Web Services

  • Firebase Authentication

  • Google Analytics

  • Google Maps Platform APIs

  • Testing platforms like TestFlight or Google Play Console

Use of third-party tools is subject to their respective terms and privacy policies.

Emergent3 is not responsible for actions of third-party providers.


10. Service Availability

We strive to maintain reliable uptime but do not guarantee that the Services will be:

  • Uninterrupted

  • Error-free

  • Compatible with all devices or networks

Maintenance, updates, outages, or external failures (e.g., hosting provider downtime) may temporarily affect availability.


11. Termination of Access

Emergent3 reserves the right to suspend or terminate user or organization accounts for:

  • Violations of these Terms

  • Non-payment

  • Fraudulent or abusive activity

  • Requests from the employer

  • Legal or security concerns

Organizations may also request termination of specific user accounts.

Upon termination:

  • Access to data may be limited

  • Certain data may be retained as required by law or the Privacy Policy


12. Disclaimers

To the fullest extent permitted by law:

  • The Services are provided “as is” and “as available”

  • Emergent3 disclaims all warranties, express or implied

  • We do not guarantee data accuracy, system uptime, or error-free performance

  • Users assume all risk associated with their use of the Services

Emergent3 is not responsible for decisions made based on data within the system.


13. Limitation of Liability

To the extent permitted by Utah law:

Emergent3 is not liable for indirect, incidental, consequential, special, or punitive damages arising from:

  • Use or inability to use the Services

  • Loss of data

  • Downtime or outages

  • User or employer actions

  • Unauthorized access caused by user negligence

Maximum liability for any claim shall not exceed the fees paid to Emergent3 in the 12 months preceding the claim.


14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Utah, USA, without regard to conflict of laws principles.

Any disputes will be handled through:

  1. Good-faith negotiation between the parties, and if unresolved:

  2. Binding arbitration in Utah, unless the organization has a separate written contract specifying otherwise.

Users waive the right to participate in class actions against Emergent3.


15. Changes to Terms

Emergent3 may update these Terms from time to time.

We will:

  • Update the “Effective Date”

  • Notify users or organizations when material changes occur

Continued use of the Services constitutes acceptance of updated Terms.
